1. Introduction

Welcome to TBN Tech Consultancy. By engaging our services, you agree to comply with and be bound by the following terms and conditions. These terms govern our professional relationship and the services we provide.

2. Services Provided

We offer a range of IT services, including but not limited to:

  • Web Development
  • App Development
  • UI/UX Design
  • Digital Marketing
  • SEO and SMM
  • Graphics Design

The specific services to be provided will be detailed in a separate Statement of Work (SOW) agreed upon by both parties.

3. Duration

  • Term: The agreement commences on the date both parties sign the SOW and continues until the specified services are completed, unless terminated earlier in accordance with these terms.
  • Renewal: Any extension or renewal of services will require a new SOW or a written amendment to the existing one.

4. Fees and Payment

  • Rates: Our fees are outlined in the SOW and may be based on hourly rates or fixed prices, depending on the nature of the services.
  • Payment Schedule: Invoices will be issued as specified in the SOW, with payment due within 25 days of the invoice date.
  • Expenses: Any additional expenses, such as travel or materials, will be pre-approved by the client and reimbursed accordingly.

5. Confidentiality

  • Obligations: Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.
  • Exceptions: Confidential information does not include information that is publicly available or was known prior to disclosure.

6. Intellectual Property Rights

  • Ownership: Unless otherwise agreed in writing, all intellectual property rights in deliverables created by TBN Tech Consultancy during the engagement remain the property of TBN Tech Consultancy.
  • Licenses: Upon full payment, the client is granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

7. Liability and Indemnity

  • Limitation of Liability: TBN Tech Consultancy's liability for any claim arising out of this agreement shall not exceed the total amount paid by the client for the services.
  • Indemnification: The client agrees to indemnify and hold harmless TBN Tech Consultancy against any claims arising from the client's use of the deliverables.

8. Termination

  • Conditions: Either party may terminate the agreement with 7 days' written notice.
  • Notice Period: In the event of a material breach, the non-breaching party may terminate the agreement immediately upon written notice.

9. Governing Law and Dispute Resolution

  • Jurisdiction: This agreement is governed by the laws of England.
  • Dispute Resolution: Any disputes arising under this agreement shall be resolved through mediation or arbitration in England.

10. Miscellaneous

  • Entire Agreement: This document, along with the SOW, constitutes the entire agreement between the parties.
  • Amendments: Any amendments to this agreement must be made in writing and signed by both parties.
